Music Licensing Agreement

DRAFT — REQUIRES GHANAIAN LEGAL REVIEW
A licence is different from ordinary digital distribution. Complete parties, rights, fees, territory, term, media, exclusivity, approvals and signatures in a lawyer-approved schedule before use.

1. Rights holder and work

The licence must identify the rights holder, recording title, ISRC or other identifier where available, composition, writers, publishers, performers, producer, artwork and any other material included. If there are co-owners, all required consents must be documented.

2. Licensed rights

The licence must state precisely whether it covers a master recording, composition, publishing, lyric, artwork, name/image, video, synchronisation, public performance, communication to the public, reproduction, advertising or another right. A digital distribution permission does not automatically grant sync, master-use or publishing rights.

3. Permitted use

Describe the approved campaign, product, platform, territory, media, audience, edits, duration, credit and approval process. Uses outside the schedule require fresh written permission. No licensee may imply Artist endorsement unless expressly approved.

4. Term, territory and exclusivity

State the commencement and expiry dates, renewal process, territory and whether the licence is exclusive, sole or non-exclusive. A licence ends at expiry unless renewed; continuing uses, archived campaigns and platform caching must be addressed in the final schedule.

5. Fees, royalties and reporting

State any upfront fee, minimum guarantee, royalty, reporting frequency, currency, payment timing, tax treatment, approved deductions and audit process. Any commission payable to Ranking Empire must be expressly accepted in the commercial schedule. Ranking Empire receives only the rights and commissions specified in the accepted agreement.

6. Clearances and approvals

The party granting the licence must confirm that all samples, interpolations, featured artists, producers, publishers, performers, artwork and third-party materials have been cleared for the exact use. Approval of a file for upload is not a substitute for a rights clearance.

7. Restrictions and termination

Prohibit unlawful, defamatory, misleading, hateful or unauthorised uses and identify any prohibited edits or contexts. The final agreement should explain cure periods, immediate termination events, takedown instructions, post-termination use, payment of accrued royalties and return or deletion of supplied materials.

8. Acceptance record

The final licence should identify its version, effective date and accepted schedule. Each party should retain the accepted copy and any written variation.
