Parties. This draft is intended to sit between the rights holder identified in the account (the “Artist”) and Ranking Empire, operating the GrinoMusic platform (the “Service Provider”). The final accepted agreement must state the verified legal names and contact addresses of both parties.
“Recordings” means the sound recordings, music videos, artwork, metadata and related materials submitted by the Artist. “Stores” means digital music services or other outlets approved for a particular release. “Net Receipts” means amounts actually received for the Artist’s release after only the deductions expressly listed in the accepted commercial schedule.
The Artist keeps ownership of the Artist’s master recordings, compositions, artwork, name, image and other intellectual property unless a separate written agreement expressly says otherwise. This distribution arrangement is not a sale or automatic assignment of copyright.
The Artist grants Ranking Empire the limited, non-exclusive authority needed to review, encode, deliver, market where agreed, administer and report on the submitted materials through approved channels during the agreed term and territory. Ranking Empire may use the Artist’s name, approved artwork and release metadata only for those services. Any sync, master-use, publishing, brand, advertising or other licence must be separately agreed.
The final agreement must specify the start date, end date, territory and whether any particular recording or channel is exclusive. If no exclusivity is expressly accepted in writing, the distribution authority should be treated as non-exclusive. The Artist must not knowingly send the same exclusive delivery rights to two distributors for the same channel and period.
GrinoMusic may check metadata, ownership evidence, audio quality, artwork, contributor information, lyrics, identifiers, explicit-content labels and platform rules. A submission may be held, rejected or returned for correction. Delivery is manual while external partner authorisation and integration access are pending. No store acceptance, playlist placement, stream level or release date is guaranteed.
The accepted commercial schedule controls the split. Unless a different schedule is clearly accepted for the release or service:
The schedule must explain whether percentages apply to gross receipts or Net Receipts, all third-party platform fees, taxes, refunds, chargebacks, currency conversion, payment fees and any approved recoupable cost. No deduction should be made merely because it is convenient; deductions must be authorised, identifiable and reported.
Statements should identify the reporting period, source or store where available, units or uses where available, gross amount, approved deductions, currency conversion, the split and the amount payable. Payouts are subject to the account’s verified payment details, any stated minimum threshold, applicable tax or identity checks and the accepted payment schedule. A statement may be corrected for late, duplicate, refunded or invalid source data.
The Artist promises that the Artist has authority to submit the materials, has obtained necessary co-owner, producer, performer, sample, cover, artwork, lyric and featured-artist permissions, and will not submit infringing, deceptive, unlawful or unauthorised materials. The Artist must promptly update GrinoMusic about ownership disputes or restrictions.
GrinoMusic may pause or remove a submission when a platform, rights holder, regulator, payment provider or credible complaint requires action, or where the Artist’s account creates a security or legal risk. The Artist may request a takedown or termination through the catalogue process. Removal timing depends on the receiving service. Takedown does not erase amounts already earned, valid obligations, audit rights or claims arising before termination.
The final agreement must contain lawyer-approved provisions for confidentiality, notices, indemnities, service availability, liability limits, dispute handling, governing law and escalation. Nothing here removes rights that cannot lawfully be excluded.
The final version should show a version label, effective date and the exact commercial schedule. Acceptance must be affirmative and recorded against the accepting account. Artists should download or retain a copy of the accepted version.
